Partial Transfer of Shares in Kyoto Fusioneering, Inc.
Innovation Kyoto 2016 Investment Limited Partnership ("KYOTO-ICAP No.1 Fund"), of which Kyoto University Innovation Capital Corporation ("Kyoto iCAP") (Head Office: Sakyo-ku, Kyoto; Representative Director: Kimi Kusumi) is the general partner, has decided to acquire a portion of its holding of Kyoto Fusion Engineering Co. ("KF") (Uji-shi, Kyoto; Representative Director: Takashi Nagao), which it holds, to JIC Venture Growth Investments, Inc. ("JIC-VGI", head office: Minato-ku, Tokyo, President: Hideki Yarimizu), a general partner of JIC Venture Growth Fund No.1.
KF is a plant engineering company established by Tetsuyuki Konishi, Professor Emeritus of Kyoto University (currently Chief Fusioneer of KF) and others as co-founders, and is responsible for research and development of equipment and systems around fusion reactors and necessary for plants. Kyoto iCAP has accompanied the establishment of KF in 2019, dispatching a director and executing three investments to date.
In conjunction with KF's execution of a third-party allotment of new shares with JIC-VGI as the lead investor, KF has agreed to transfer a portion of its Kyoto iCAP holdings to JIC-VGI for the purpose of optimizing its shareholder composition.
After the transfer, Kyoto iCAP will continue to dispatch directors to KF and will support the industrialization of nuclear fusion as a major shareholder together with JIC-VGI.
