The Roots of Startup Fundraising - Focusing on the Pitfalls -.
This project was selected by NEDO as part of its "FY2023 Project to Support the Recruitment of Management Professionals for University Startups (MPM)," with the aim of identifying management professionals who are interested in starting their own businesses or participating in startup management, and matching them with technology seeds from universities and other organizations and university startups. The purpose of this program is to discover management talents who wish to start their own businesses or participate in start-up management.
In December 2023, the Fintech Association of Japan published a new template for contracts for equity investments in startups.
So, we had three lawyers come in and use this contract template as a base,Key points for drafting and negotiating contracts when a start-up company raises funds.You will be asked to explain about

Representative Partner, A&S Fukuoka Law Office Law Corporation (Fukuoka Bar Association)
Graduated from Keio University Faculty of Law in 2004, registered as a lawyer in 2007 (Tokyo Bar Association; Fukuoka Bar Association from 2022), LLM from the University of Pennsylvania Law School in 2015, and has advised startup companies, VCs and CVCs as well as trading companies and corporations on international transactions, investments, M&A, and financial regulation of domestic and foreign companies. He also advises domestic and foreign companies on financial regulations and fund transactions.
Attorney Osamu Fujiwara
Partner, Atsumi & Sakai, Foreign Law Joint Enterprise (Daiichi Tokyo Bar Association)
He graduated from the University of Tokyo Faculty of Economics in 2004 and Waseda University Graduate School of Law in 2007, and was admitted to the bar in 2009. After practicing at Orrick Tokyo Law Office and its foreign law joint venture, he joined Atsumi & Sakai Law Office and its foreign law joint venture in 2014. He completed his law degree at Cornell University Law School in 2018. His main practice areas include: investment-related work, M&A, general corporate matters, data legislation (GDPR/Personal Information Protection Act), dispute resolution, etc.
